Still haven’t filed for your Florida based company’s annual report? That’s ok! This year, Due to the concerns over the coronavirus (COVID-19) crisis, the Florida Division of Corporations has given you an extension until June 30, 2020 to file your annual reports without any late penalties or fees.
Pursuant to Executive Order No. 20-52 and Department of State Emergency Order 2020-01, the time requirements for business entities to file annual reports are suspended and tolled until June 30, 2020.
Any profit corporation, limited liability company, limited partnership or limited liability limited partnership annual report filing will have until 12:01 am on July 1, 2020, before a $400 late fee is assessed. Should you miss this deadline, you have until the third Friday of September to file your Annual Report (subject to the late fee of course). If you still haven’t filed by September 20, Florida will administratively dissolve your business entity the following Friday!
You can have your business reinstated, but you will have to pay a reinstatement fee and the unpaid annual report fees.
